LARAWAY SECTION BYLAWS

ARTICLE I - NAME
- The name of this organization shall be The Laraway Section of The Green Mountain Club, hereinafter referred to as the Section.
- The Green Mountain Club, Inc., a Vermont corporation hereinafter shall be referred to as GMC.
ARTICLE II - FISCAL YEAR
- The fiscal year for the Section shall be May 1 to April 30 of the following year.
ARTICLE III - PURPOSE
- Purpose: The purpose of the Section shall be as follows:
- To maintain and/or relocate/establish the Long Trail, Long Trail shelters and side trails that the GMC assigns to the Section and work with other Sections as a service to the general public.
- To make the Vermont Mountains and undeveloped land play a large role in the lives of members and the general public by providing recreational/educational opportunities and activities with an emphasis on the outdoors and promote stewardship and environmental awareness of the Long Trail.
ARTICLE IV - MEMBERSHIP
- Classes of Membership:
- Individual - any person may become a member of the Section upon payment of appropriate dues and shall be entitled to one vote.
- Family - any family may join the Section upon payment of appropriate dues and shall be entitled to two votes.
- Business or organization - may become a member of the Section upon payment of appropriate dues and shall not be entitled to vote.
- Dues:
- The annual dues for each class of membership shall be set by the Board of Directors of the GMC. Dues are payable to the GMC and a specified percentage of the dues shall be allocated to the Section in accordance with the bylaws of the GMC. Members are entitled to all benefits of the GMC.
- Any member whose dues are in arrears more than 3 months after they are due shall cease to be a member of the Section thereafter.
ARTICLE V - OFFICERS / Duties
- Officers - The officers of the Section shall be President, Vice President, Treasurer, Secretary, Director/Alternate Director and elected Chairperson of any Committee.
- Appointment - The officers of the Section shall be elected at annual meeting.
- Term - Each elected officer shall serve for a 1-year term and shall serve until their successors are elected except the Director/Alternate Director who shall be elected every three years.
- Vacancy - The Executive committee shall appoint a member to fill any vacancy for the remainder of the term of that office.
- Removal - Any officer may be removed from office by a two-thirds vote of members present at any warned meeting of the Section.
- Duties - The Section Officers shall have the following duties:
- President - shall supervise/approve the duties of the officers and shall preside/conduct the meetings of the Section and Executive Committee. The President shall act as the spokesperson of the Section.
- Vice President - shall assist the president and perform the duties of President if he/she is unable to.
- Treasurer - shall receive and disburse funds on behalf of the Section and shall submit an annual financial report of the Section at annual meeting.
- Secretary - shall keep accurate minutes of the Section's annual meeting, special meetings or executive committee meetings.
- Director - shall attend GMC Board of Directors meetings and duly represent the Laraway Section to the best of their ability. Shall inform members of the critical issues placed before the Board.
- Alternate Director - shall perform the duties of Director if she/he is unable to perform her/his duties.
- Chairperson of Committee - The chairperson of any committee shall perform the traditional or assigned duties of their committee as follows and shall report to the President of all proposed activities:
- Committees:
- Membership - process membership applications, maintain a roster of memberships and encourage/recruit new members, publish and distribute activities schedule/newsletter to Section/GMC members and the general public.
- Outings/newsletter - arrange a schedule of activities and newsletter relating to the purpose of the Section.
- Shelters/Trails - arrange and supervise whatever action is required by the Section to build and/or maintain shelters and the trails for which the Section is responsible.
- Nominating - shall at annual meeting present the name of a member for each office, if possible, in which a vacancy will occur. Additional nominations for any vacancy may be made by a voting member. Voting may be by paper ballot. The chairperson shall appoint two other members to the committee.
- Special Committees - The President may establish and appoint any special committee that he/she deems necessary which committee shall terminate in one year unless voted to continue by the majority of voting members at any meeting.
- If any offices are combined that officer will have only one vote.
ARTICLE VI - EXECUTIVE COMMITTEE
- Function - shall advise the President on the care and direction of the Section and must approve any expenditure of funds from the treasury of $75 or more.
- Composition - shall consist of 5 members composed from the following order President, Vice President, Director (or alternate) director, Treasurer, Chair of Trails & Shelters, Chair of Outings, Chair of Membership and Secretary.
- Meetings - shall be called by the President or by any two members thereof upon 14 days notice in advance.
- Quorum - Shall be constituted by the presence of at least 3 of 5 of committee members. Proposals shall be approved by majority of those present.
ARTICLE VII - MEETINGS OF GENERAL MEMBERSHIP
- Meetings shall be called by the President or by any two members thereof upon 14days notice in advance.
- Annual - shall be held in the spring of each year, the determination of the time and place thereof to be made by the Executive Committee.
- Special - shall be called by the President or by him/her by petition of two executive committee members or ten or more voting members.
- Notice - shall be given to each member by US or E-mail, if available, at least 2 weeks in advance and shall include the purpose/purposes.
- Quorum - Ten percent of the membership.
ARTICLE VIII - BYLAWS/AMENDMENTS OF THE SECTION
- These bylaws shall abide by the bylaws of the GMC. The Bylaws of the GMC shall take precedence over the Bylaws of the Section.
- These bylaws may be amended or repealed at any warned meeting by a two-thirds vote of the members present provided that notice of the proposed action is given for such meeting.
- It shall be the duty of the President to present such bylaw amendments as may be proposed by a majority of the Executive Committee or any ten members of the section.
ARTICLE IX - DIS-ESTABLISHMENT
- Disestablishment - If the number of voting members falls below ten or if the Section is unable to perform its responsibility to the GMC, the Section by a two-thirds vote at any warned meeting may recommend to the Board of Directors of the GMC to be disestablished.
- Assets and liabilities. In the event of dissolution or disestablishment of the Section all tangible assets remaining after all liabilities have been met shall become the property of the GMC.
